Result of AGM and GM
Pebble Beach Systems Group PLC announced that all resolutions were passed at its Annual General Meeting and General Meeting, including a special resolution for a proposed capital reduction. The company will now proceed with the capital reduction process, with an expected court hearing to confirm it on 28 July 2026 and an effective date of 30 July 2026, subject to court timetables.

Pebble, the global software company providing specialist automation solutions for the broadcast and streaming markets, is pleased to announce that at the Annual General Meeting ("AGM") of the Company, held today at 10.00 a.m., 24 June 2026, all resolutions were passed.
In addition, at the General Meeting, held today at 11.00 a.m., the special resolution, regarding a proposed capital reduction was duly passed.
A copy of the voting results is available on the Group's website at www.pebbleplc.com.
The Company will now proceed with the Capital Reduction process, as described further in the circular sent to shareholders on 8 June. Implementation of the Capital Reduction remains subject to a number of legal processes, with the expected timetable noted below. Further announcements will be made as necessary in due course.

The expected dates for the confirmation of the Capital Reduction by the Court and it becoming effective are based on provisional dates that have been obtained for the required Court hearings of the Company's application. These provisional hearing dates are subject to change and dependent on the Court's timetable. If the expected dates of the Court hearings are changed (and consequently the expected effective date for the Capital Reduction), the Company will make further notifications via a Regulatory Information Service.
