Application for Cancellation and Re-Admission

Applications for cancellation of admission on the Equity Shares (Shell Companies) category and for admission to the Equity Shares (Commercial Companies) category

Further to the publication of a scheme document on 9 July 2026 ("Scheme Document") and a prospectus on 15 July 2026 ("Prospectus"), Acceler8 Ventures Plc (LSE: AC8, "AC8" or the "Company") confirms that application has been made to the Financial Conduct Authority and to the London Stock Exchange for the cancellation of the admission of the Company's shares to the Equity Shares (Shell Companies) category of the Official List and to trading on the Main Market for listed securities. It is expected that such cancellation will occur by 8:00 a.m. on 14 August 2026.

The Company also confirms that application has been made to the Financial Conduct Authority and to the London Stock Exchange for 752,178,246 ordinary shares of £0.01 each (the "Ordinary Shares"), comprising the Company's entire issued share capital on Admission, to be admitted to the Equity Shares (Commercial Companies) category of the Official List ("ESCC") and to trading on the Main Market for listed securities. It is expected that Admission will become effective, and that dealings in the Company's enlarged ordinary share capital will commence, at 8:00 a.m. on 14 August 2026.

Total Voting Rights

On Admission the above figure of 752,178,246 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.

As set out in an announcement on 3 August 2026 the Scheme is expected to become effective today. Further announcement will be made in due course.
