Conversion of CLN Shares

Further to the announcements on 29 August 2025 and 20 April 2026 regarding the respective convertible loan note fundraises, Acceler8 Ventures Plc (LSE: AC8, "AC8" or the "Company") confirms that the Company has allotted 4,469,225 ordinary shares of £0.01 each ("Ordinary Shares") pursuant to the issue of Ordinary Shares on conversion of the 2025 CLNs and the 2026 CLNs (the "CLN Shares"). The allotment comprises 1,460,361 Ordinary Shares issued on conversion of the 2025 CLNs and 3,008,864 Ordinary Shares issued on conversion of the 2026 CLNs.

Application has been made to the London Stock Exchange for the CLN Shares to be admitted to trading on the Main Market. It is expected that admission will become effective and that dealings in the CLN Shares will commence at 8.00 a.m. on 12 August 2026.

The above figure of 7,500,037 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
