Director/PDMR Shareholding
Wilmington PLC announced on October 1, 2026, that on September 30, 2026, nil cost awards and options were granted under its Performance Share Plan 2017 to employees, including Directors and Persons Discharging Managerial Responsibilities (PDMRs). Specifically, Executive Director Mark Milner received 329,787 nil cost awards, Executive Director Guy Millward received 212,099 nil cost awards, PDMR Ruth Abdey received 45,151 nil cost awards, and PDMR Richard Shamsi received 90,566 nil cost awards. These awards are subject to three-year performance conditions, and shares acquired by Executive Directors and other PDMRs must generally be retained until the second anniversary of the vesting date.

On 30 September 2026, nil cost awards over 825,549 ordinary shares in Wilmington plc (the "Company") and options with a per share exercise price of £2.65 over 158,097 ordinary shares in the Company were granted under the Wilmington Performance Share Plan 2017 (the "Plan") to employees of the Company and its subsidiaries, of which the following nil cost awards were made to Directors of the Company and other Persons Discharging Managerial Responsibilities ("PDMRs"):

The awards granted to the Executive Directors and other PDMRs are subject to an additional condition that ordinarily all of the shares acquired (after sales to cover tax) must be retained until the second anniversary of the vesting date.
