Acquisition strengthens TNE's ability to secure long-term feedstock and offtake agreements, underpinning the commercial rollout of its biorefinery projects

Technologies New Energy plc (LSE: TNE), the energy transition company focused on developing clean energy projects to drive industrial decarbonisation for clients with international operations, announces that it has acquired Diverfuel S.A. ("Diverfuel"), the developer of the Diverfuel Platform.

The Diverfuel Platform is a scalable SaaS/PaaS middleware solution that provides the digital backbone for real-time sensing, control, analytics, and lifecycle management in the production of clean fuels and green chemicals.

The Diverfuel Platform enables advanced integration of IoT and AI technologies to optimise biorefinery and e-refinery operations and enhance sustainability performance. The acquisition directly complements TNE's existing biorefinery development pipeline, transforming projects into smart, data-driven assets that can deliver higher efficiency and stronger ESG credentials.

Transaction Terms

The business was transferred to TNE pursuant to a share transfer agreement ("STA"). No consideration is payable on completion of the transfer. In exchange, TNE will take responsibility for the further development of the Diverfuel Platform, advancing it through commercialisation and rolling it out across the Company's own projects as well as to its clients and partners.

Strategic Rationale

By embedding the Diverfuel Platform across its projects, TNE will provide feedstock producers with enhanced supply chain transparency, while offering offtakers verifiable data on carbon intensity, traceability and ESG compliance. This advanced capability is increasingly critical under tightening global regulations and gives offtakers confidence in securing long-term supply agreements while reducing their own reporting and compliance risks.
