The Smarter Web Company today announces that, further to its announcements on 29 September 2026, the Institutional Offer and the Retail Offer closed at 4.30 p.m. on 9 October 2026 and the results are now available.
Following the close of the Institutional Offer and the Retail Offer, the Company has conditionally raised aggregate gross proceeds of £10.0 million (£2.4 million of which have been conditionally raised through the Institutional Offer and £7.6 million of which have been conditionally raised through the Retail Offer), equating to aggregate net proceeds of approximately £8.3 million for the Company after the deduction of expenses.
Issuance of Preferred Shares
Conditional on Admission, the Company will issue a total of 111,112 Preferred Shares at the Offer Price of £90 per Preferred Share in connection with the IPO. The Company will also, on Admission, issue 100,000 Preferred Shares into the Preferred Shares ATM Facility to be held by or on behalf of Tennyson Capital.
Admission
Applications have been made for 211,112 Preferred Shares (comprising the 111,112 Preferred Shares to be issued pursuant to the IPO and the 100,000 Preferred Shares to be issued under the Preferred Shares ATM Facility) to be admitted to listing on the non-equity shares and non-voting equity shares category of the Official List and to trading on the Main Market of the London Stock Exchange. Admission is expected to become effective, and unconditional dealings in the Preferred Shares to commence, at 8.00 a.m. on 14 October 2026 under the TIDM: MORE (ISIN: GB00C0HJ0D12). There will be no conditional dealings in the Preferred Shares.
On Admission, the Preferred Shares held in public hands will represent 68.7% of the Preferred Shares issued pursuant to the IPO (excluding, for this purpose, any Preferred Shares to be held by or on behalf of Tennyson Capital under the Preferred Shares ATM Facility).
The conditions to the IPO, other than Admission becoming effective, have been satisfied.
Preferred Dividends
As previously announced by the Company, the Preferred Shares will have attached to them a right for the holder to receive a cumulative variable rate weekly preferential dividend ("Preferred Dividend"), a liquidation preference, and a right for the Company to redeem the Preferred Shares, but no right to vote at a general meeting of shareholders of the Company. The initial dividend rate will be 12% per annum of £100, and the dividend rate will be variable by the Board from time to time, subject to certain parameters, as described in the Prospectus.
The Board has resolved that the first record date for the weekly Preferred Dividend (ISIN: GB00C0HJ0D12; TIDM: MORE) will be Friday 23 October 2026, with an ex-dividend date of Thursday 22 October 2026, and that the first weekly Preferred Dividend will be £0.2301 per Preferred Share. Accordingly, the latest payment date for the first weekly Preferred Dividend will be Monday 9 November 2026. The expected ex-dividend dates, record dates and latest payment dates for the weekly Preferred Dividends for the period to 1 October 2027, which have been set by reference to the London Stock Exchange’s Dividend Procedure Timetable, are set out in Appendix 1 to this Announcement. The Company will also announce each weekly Preferred Dividend, including the amount payable per Preferred Share, via a Regulatory Information Service ahead of the relevant record date, and will announce any change to the expected timetable in the same way.
Use of Net Proceeds
As the gross proceeds of the IPO are below the £15 million lower end of the range in the Prospectus, the Company intends to apply the Net Proceeds to the uses set out below and in the order of priority shown in the Prospectus, adjusted as the Directors consider appropriate:
| Use | £ | % |
|---|---|---|
| Working capital and general corporate purposes (including for maintenance of cash reserves for the payment of dividends) | £3,846,006 | 46.08% |
| Acquisition of additional Bitcoin for the Group's treasury reserve | £4,000,000 | 47.93% |
| The Company's operational business growth strategy | £500,000 | 5.99% |
| Total | £8,346,006 | 100% |
Total voting rights
Upon Admission, the Company's issued ordinary share capital will consist of 378,240,705 Ordinary Shares, each carrying the right to one vote. The Company does not hold any Ordinary Shares in treasury. Therefore, from Admission the total number of Ordinary Shares and voting rights in the Company will be 378,240,705. With effect from Admission, this figure may be used by Shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
Admission of the Preferred Shares will not affect the Company's total voting rights, as the Preferred Shares do not have any voting rights attached to them. Andrew Webley, CEO, The Smarter Web Company, commented:
"This is a proud moment for Smarter Web. With the introduction of our Preferred Shares alongside our existing Ordinary Shares, we now have two distinct equities offering investors different ways to participate in the potential future success of Smarter Web.
"I am especially proud that we are listing MORE in London. With what we believe to be the first weekly dividend paid by a London-listed commercial company, we are demonstrating that the UK can lead in financial innovation and that the UK capital markets remain open for business.
"I'm delighted to see the strong level of retail investor participation. My thanks go to our new investors, existing shareholders, all our advisers and the whole Smarter Web team who have worked so hard to make this possible.
"I look forward to building on this milestone as we continue to execute our long-term strategy."
