Purchase of Fractional Entitlements and TVR
Redcentric plc has purchased 26,660 Ordinary Shares, representing aggregate fractional entitlements from its Share Capital Restructure, into Treasury at 160p per share. This transaction, completed on 5 August 2026, leaves the Company's total issued share capital unchanged at 103,071,740 Ordinary Shares, with 27,140 now held in Treasury. Consequently, the total voting rights are now 103,044,600, which shareholders should use for disclosure calculations under FCA rules.

Redcentric plc (AIM: RCN), a leading UK IT managed services provider, announces that, in connection with the fractional entitlements arising from the recent Share Capital Restructure, the Company has purchased 26,660 Ordinary Shares representing the aggregate fractional entitlements ("Fractional Shares") into Treasury on 5 August 2026 at a price of 160p per share, being the Tender Price.
Unless otherwise defined, capitalised terms in this announcement shall have the same meaning as those set out in the circular published by the Company on 19 June 2026 (the "Circular").
As described in the Circular, the proceeds of the sale of Fractional Shares will be paid in due proportion to the relevant Shareholders.
As a result of the purchase of the Fractional Shares into Treasury, with effect from today, the Company's total issued share capital remains unchanged at 103,071,740 Ordinary Shares, of which 27,140 Ordinary Shares are now held in Treasury. Accordingly, the total voting rights of the Company is now 103,044,600. The figure of 103,044,600 may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
