Result of AGM
Northern Bear plc announced that all resolutions presented at its Annual General Meeting were passed, including the adoption of the financial statements for the year ended March 31, 2026, and the authorization for directors to declare both final and special dividends. The re-election of directors Simon Alexander Carr, John Peter Davies, and Harry Jacob Samuel, along with the re-appointment of auditor Saffery LLP, were also approved with overwhelming support. Resolutions concerning the authority to allot shares and disapply pre-emption rights received 95.4% and 94.6% of votes in favour respectively, while the authority for the company to buy back its own shares was unanimously approved. The total votes cast represented 39.1% of the issued share capital.

The board of directors of Northern Bear (LSE: NTBR) announces that, at its Annual General Meeting ("AGM") held earlier today, all proposed Resolutions were duly passed.
The Resolutions 1 to 9 were passed as Ordinary Resolutions and Resolutions 10 to 11 were passed as Special Resolutions. The voting results on all resolutions at the AGM were as follows:
