Pathos Communications sells press coverage to small businesses and charges only when an article is secured. It listed on London's AIM market in December 2025 at 30p a share. Trading has since been ahead of or in line with expectations, but the shares fell to 22p at the latest close (13 October 2026).
PR for small firms, paid only when it lands
Pathos describes itself as a technology-enabled, human-led PR company. It was set up to give small and medium-sized businesses (SMEs) access to established news publications. Traditional PR runs on long subscription fees. Pathos instead charges on results: a client pays when coverage is secured.
The company puts the market at over 400 million SMEs worldwide, with typically small PR budgets. It reports c. 9,000 clients. Its main markets are North America and Europe, and it has offices in Dubai. Besides articles, it now sells podcast services, book publishing and slots on business TV channels. It also has agreements with publishers, including a 24-month deal with one of the 'Big Three' US news periodicals. Profit depends on the mix of publications it buys, on collecting cash from clients, and on how many clients come back. 9 Sep 2026 5 May 2026 12 Oct 2026 16 Dec 2025
Growing without outside money, then a listing
Revenue grew from about $4m to over $13m in three years, which the company puts at a 57% yearly rate. The chief executive and founder, Omar Hamdi, says this was 'bootstrapped', with no external funding before the IPO.
On 16 December 2025 Pathos joined AIM, raising £5.6m by issuing 16.7m shares at 30p, which valued it at about £20m. The company said the money would pay for bigger sales, marketing and management teams, AI products and entry into new regions. FY2025 revenue was $13.1m, up 15%, and adjusted EBITDA (operating profit before depreciation and one-offs) was $2.9m, up 53%. Net cash was $6.2m. 16 Dec 2025 5 May 2026 2 Feb 2026
A bad-debt problem, fixed in 2025
Pay-on-results only works if clients actually pay. In the first half of 2025 the company wrote off $1.55m of bad debt on revenue of $6.4m. It introduced stronger processes and controls in the second quarter of 2025. Cash collections improved significantly in the second half, and bad debt fell to $0.28m in the first half of 2026. 5 May 2026 9 Sep 2026
Spending the IPO money in 2026
Pathos hired sales managers, opened a dedicated Asia-Pacific operation, appointed Scott Feltham as chief technology officer and built a development team for its AI tools. The tools are Pressella, an 'AI virtual publicist', and PathosMind. Management says new client sign-ups rose about 30% after the sales restructuring. In May it won its largest contract, $0.7m, from an existing client. It expected that contract to add over $0.5m of EBITDA across FY2026 and FY2027.
Part of the spending went on the AI platform and customer databases: $1.7m in the first half. Costs also rose: underlying administrative expenses were $3.2m, against $2.4m a year earlier. 27 Apr 2026 26 May 2026 9 Sep 2026 5 May 2026
What drove the record
Repeat customers explain most of the improvement. They made up 36% of first-half 2026 revenue, against 16% a year earlier. Cash discipline came second: cash receipts from customers rose from $4.3m to $7.9m.
There was a cost. Gross margin was 81% in the first half of 2025, 69% in the second half and 71% in the first half of 2026. The company says it shifted toward premium media outlets to keep clients. Gross profit was flat at $5.2m even though revenue rose 14%. Profit growth came from lower bad debt and operating leverage, not from higher margins on each sale. 9 Sep 2026 5 May 2026
Founder-led, with insiders mostly buying
Omar Hamdi, founder and chief executive, runs the company with finance chief Adam Hurst. Chair Mark Elliott joined the board shortly before the IPO. The four stated priorities are organic growth, technology development, geographic expansion and selective micro-acquisitions. The company has reported no acquisition.
Hamdi bought shares in March 2026 (144,000 at 28p and 125,000 at 27p) and again on 14 October 2026 (160,000 at 22.56p, about £36k). Elliott sold 63,165 shares at 27p on 27 March. At the IPO, Octopus Investments took 15.0%, Puma 3.75%, and Pentwater reached 4.96% by March. 16 Mar 2026 18 Mar 2026 27 Mar 2026 14 Oct 2026 22 Dec 2025 19 Dec 2025 5 May 2026
Ahead on trading, behind on the share price
First-half 2026 revenue was $7.3m (up 14%) and adjusted EBITDA $1.7m (up 36%). Reported profit before tax was $1.0m. Net cash was $5.9m, down from $6.2m at December, with no debt apart from the office lease. July brought record monthly revenue above $1.8m, and the company said trading to the end of August was significantly ahead of the prior year.
On 2 October, the company said it expected FY2026 revenue of $15.0m, up from the $14.0m market expectation. EBITDA expectation stayed at $4.0m. The shares closed June at 32p, July at 23p, and 22p on 13 October, below the IPO price. The company has not explained the fall. 9 Sep 2026 6 Aug 2026 2 Oct 2026
AI launch and a back-weighted year
To reach $4.0m, Pathos needs about $2.3m of adjusted EBITDA in the second half, against $1.7m in the first. The board says it will meet or slightly beat expectations. The company said on 5 May that it expected Pressella and PathosMind to be generally available in H1 2027. On 9 September it repeated the target. An earlier announcement on 27 April had said 'within 6-12 months'. Management's own tests show Pressella winning meetings at 5-7 times the human rate, though the 7x figure came from a tightly controlled test. Market expectations for 2027 revenue were $15.3m in September.
The company says it is exploring 'generative engine optimisation', which structures articles so AI search tools cite them. It expects this to double global PR spend by 2027. Open questions are whether gross margin recovers, whether repeat business keeps growing, whether the AI tools launch on time, and whether the Flippa partnership and APAC bring in real revenue. The company has also said it wants a third straight FT1000 ranking next year. 9 Sep 2026 27 Apr 2026 5 May 2026 27 Jul 2026 2 Oct 2026 9 Feb 2026 3 Mar 2026
