Company to hold AGM on 28 November 2025 to approve article amendments for shell company listing rules.

The Company is pleased to announce that it intends to hold its annual general meeting (″AGM″) on or around 28 November 2025. A further announcement will be made once the notice of AGM has been published and posted to shareholders.
At the AGM, the Company will seek shareholder approval to, amongst other things, amend its articles of association to include the requirements set out in the UK Listing Rules (″UKLRs″) for companies listed in the Equity Shares (Shell Companies) Category of the Official List maintained by the FCA, including, amongst other things, a new article requiring the Company to cease operations if it does not complete an Initial Transaction (as defined in the UKLRs) within two years of 30 July 2025, unless shareholder approval is obtained to extend the time period to complete the transaction up to a maximum of 3 12-month extensions and subject to certain conditions, a further 6 months.
