Further re Conditional Placing & Notice of GM
Mindflair plc has sent a circular to shareholders containing a Notice of General Meeting to seek approval for the allotment of 139,305,982 new ordinary shares and the issuance of 212,590,660 warrants, as part of a conditional placing to raise approximately £1.1 million. The General Meeting is scheduled for November 12, 2026, and if resolutions pass, the conditional placing shares are expected to be admitted to AIM on November 13, 2026.

Mindflair plc (AIM: MFAI), the AIM-quoted company focused on investing in Artificial Intelligence ("AI") related technology, announces that, further to its announcement of 15 October 2026 regarding the placing and conditional placing to raise approximately £1.1 million, a circular containing a Notice of General Meeting ("GM") and a Form of Proxy has been sent to shareholders of the Company.
The GM will be held at the offices of Orrick, Herrington & Sutcliffe (UK) LLP, 9th Floor, 107 Cheapside, London EC2V 6DN on 12 November 2026 at 10.30 a.m.
The purpose of the GM is to seek shareholder approval for the necessary authorities to allot the 139,305,982 new ordinary shares pursuant to the Conditional Placing and to issue the 212,590,660 warrants, as announced on 15 October 2026, together with additional authorities to allot shares and disapply statutory pre-emption rights.
Subject to the passing of the resolutions at the GM, admission of the Conditional Placing Shares to trading on AIM is expected to become effective on or around 8:00 a.m. on 13 November 2026.
