Kooth plc announced that ScaleUp Capital Limited, a person closely associated with Non-Executive Director Simon Philips, has undergone an internal reorganisation of shareholdings. Root Capital Fund II LP transferred 2,666,667 ordinary shares to ScaleUp 2026 LP and 762,938 ordinary shares to ScaleUp Capital Limited, both at £1.35 per share. Despite these transfers, the aggregate interest of 9,240,679 ordinary shares, representing 25.4% of the company's issued share capital, remains unchanged, and Simon Philips' beneficial shareholding is unaffected by this reorganisation.

Kooth (AIM: KOO), a leading provider of digital mental health services, announces that on 23 October 2026, the Company received notification from ScaleUp Capital Limited ("ScaleUp") (a person closely associated to Simon Philips, Non-Executive Director of Kooth) of a change in the shareholdings held by funds managed by ScaleUp pursuant to an internal reorganisation. Root Capital Fund II LP has transferred (via off market transfers) 2,666,667 ordinary shares to ScaleUp 2026 LP and 762,938 ordinary shares to ScaleUp Capital Limited, in each case at £1.35 per share. All of these vehicles are managed or controlled by ScaleUp Capital Limited, and the total interest of 9,240,679 ordinary shares, representing 25.4% of the Company's issued share capital, is unchanged.
Simon Philips' beneficial shareholding (including persons closely associated with him) in Kooth remains unchanged as a result of the reorganisation.
