Kooth plc has transferred 8,782 ordinary shares from treasury to satisfy exercised share options, resulting in an issued ordinary share capital of 36,694,683 shares, with 404,370 held in treasury. Consequently, the total number of ordinary shares with voting rights is now 36,290,313, which shareholders should use as the denominator for calculating their notification obligations under the FCA's Disclosure Guidance and Transparency Rules.

Kooth, a leading provider of digital mental health services, announces that it has on 11 August 2026 transferred 8,782 ordinary shares of 5 pence each (the "Ordinary Shares") from its treasury account in order to satisfy share options exercised by a former employee within the terms of the Company's Long Term Incentive Plan.
Following the exercise of share options, the Company's issued ordinary share capital consists of 36,694,683 Ordinary Shares, of which a total of 404,370 Ordinary Shares are held in treasury. Therefore, the total number of Ordinary Shares with voting rights in the Company is 36,290,313.
The above figure of 36,290,313 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
