In brief · summary, not quotable

Jarvis Securities plc announced that its audited results for the 12 months to 30 June 2026 will be released by 31 December 2026, and as of 30 September 2026, the company held approximately £2.5 million in cash. The company, now an AIM Rule 15 cash shell following the special administration of Jarvis Investment Management Limited, must complete a reverse takeover or raise at least £6 million for an investing company status within six months to avoid suspension of its ordinary shares from trading on AIM, with a further six months to complete the transaction before cancellation. Following the change of accounting reference date of the Company to 30 June which was announced on 27 June 2025, Jarvis will release its audited results for the 12 months to 30 June 2026 on or before 31 December 2026 in accordance with the AIM Rules.

As at 30 September 2026, the Company had cash of approximately £2.5 million (unaudited). The Company no longer receives income and the board does not expect the Special Administration of Jarvis Investment Management Limited to crystalise any value for the Company.

Accordingly, now that the Company is an AIM Rule 15 cash shell (see announcement dated 15 October 2026), Jarvis is required to make an acquisition or acquisitions that constitutes a reverse takeover under AIM Rule 14 (including seeking re-admission under the AIM Rules for Companies) , or seek to become an investing company pursuant to AIM Rule 8 which requires, inter alia, the raising of at least £6 million and publication of an admission document (a “Relevant Transaction”), within 6 months of becoming an AIM Rule 15 cash shell otherwise Jarvis’s ordinary shares will be suspended from trading on AIM. Thereafter, if a Relevant Transaction is not completed within a further six month period the Company’s admission to trading on AIM will be cancelled (the “Regulatory Cancellation”).

The Directors had indicated their intention to seek a cancellation of the Company's admission to trading on AIM pursuant to AIM Rule 41 shortly (the "Proposed Cancellation") with the expectation that any distributable reserves remaining in the Company at the time of the Proposed Cancellation would then be returned to shareholders. However, the Directors confirm they will consider any credible, potential Relevant Transactions introduced to the Company in the short term before finalising that decision. There can be no guarantee that a Relevant Transaction will occur.

The Proposed Cancellation or a Relevant Transaction (but not the Regulatory Cancellation) would be subject to, inter alia, shareholder approval, .
