Further to the announcement of 7 July 2025, in which the Company confirmed the sale of its retail execution-only brokerage business by its wholly owned subsidiary Jarvis Investment Management Limited ("JIML") for a total consideration of up to £11m to Interactive Investor Services Limited (the "Transaction"), and announced the associated wind down of JIML’s operations, which was anticipated to take approximately 15 months, the Board of Jarvis confirms that JIML has today, following Court approval been placed into Special Administration under regulation 6(1)(a) and/or regulation 6(1)(b) of the Investment Bank Special Administration Regulations 2011 (SI 2011/245).

Adam Henry Stephens and Philip Hemming of S&W Partners LLP were appointed today by the Court as Joint Special Administrators. Accordingly, Jarvis has ceased to operate or control JIML. JIML’s affairs are now being managed by the Joint Special Administrators who act as agents of JIML.

As a consequence of the appointment of the Joint Special Administrators, and pursuant to AIM Rule 15 Jarvis has become an AIM Rule 15 Cash Shell as it has ceased to own, control or conduct all of its trading business and activities. Accordingly, Jarvis is required to make an acquisition or acquisitions that constitutes a reverse takeover under AIM Rule 14, or seek to become an investing company pursuant to AIM Rule 8 (a “Relevant Transaction”), within 6 months of becoming an AIM Rule 15 cash shell otherwise Jarvis’s ordinary shares will be suspended from trading on AIM. Thereafter, if a Relevant Transaction is not completed within a further six month period the Company’s admission to trading on AIM will be cancelled.

At this time, the Directors do not intend to undertake a Relevant Transaction. Whilst they continue to keep their strategic options for Company under review, the Directors currently intend to seek a cancellation of the Company's admission to trading on AIM pursuant to AIM Rule 41 (the "Proposed Cancellation") shortly, with the expectation that any distributable reserves remaining in the Company at the time of the Proposed Cancellation would then be returned to shareholders. The Proposed Cancellation would be subject, inter alia, to shareholder approval.
