Extension of PUSU deadline

On 15 May 2026, Gamma announced that it was in discussions with Epiris LLP ("Epiris") in the context of the announcement made by Gamma on 7 April 2026.

In accordance with Rule 2.6(a) of the Code, Epiris was required, by no later than 5:00 p.m. on 12 June 2026, to either announce a firm intention to make an offer for Gamma in accordance with Rule 2.7 of the Code or announce that it did not intend to make an offer. As announced by the Company on 10 June 2026, that deadline was subsequently extended to 5:00 pm on 8 July 2026 (the "PUSU Deadline"). On 8 July 2026, a further extension of this deadline, to 5:00pm on 5 August 2026 (the "Revised Deadline"), was announced.

Discussions between the Company and Epiris are ongoing. Therefore, in accordance with Rule 2.6(c) of the Code, the Board of Gamma has requested, and the Panel has consented to, an extension of the Revised Deadline. In accordance with Rule 2.6(c) of the Code, Epiris is now required, by no later than 5:00 p.m. (London time) on 2 September 2026 (the "Extended Deadline"), either to announce a firm intention to make an offer for Gamma in accordance with Rule 2.7 of the Code or announce that it does not intend to make an offer for Gamma, in which case the announcement will be treated as a statement to which Rule 2.8 of the Code applies. The Extended Deadline can be further extended with the consent of the Panel, in accordance with Rule 2.6(c) of the Code.

Discussions between the Company and other potential offerors remain ongoing. There can be no certainty that an offer will be made nor as to the terms on which any offer might be made.
