Possible offer for Gamma Communications Plc
Epiris confirms it is considering a possible offer for Gamma Communications; must announce intentions by 8 July 2026.

Epiris LLP ("Epiris") acknowledges the Rule 2.8 announcement dated 24 June 2026 from Providence Equity Partners L.L.C. ("Providence").
Epiris confirms that it is continuing to consider its options regarding a possible offer for Gamma. There can be no certainty that any firm offer will be made, nor as to the terms on which any firm offer might be made.
In accordance with Rule 2.6(a) of the Code, Epiris must, by not later than 5.00 pm (London time) on 8 July 2026 either announce a firm intention to make an offer for Gamma in accordance with Rule 2.7 of the Code or announce that it does not intend to make an offer, in which case the announcement will be treated as a statement to which Rule 2.8 of the Code applies. This deadline will only be extended with the consent of the Takeover Panel in accordance with Rule 2.6(c) of the Code.
In accordance with Note 3 on Rule 2.8 of the Code, the panel on Takeovers and Mergers has agreed that the restrictions set out in Rule 2.8 of the Code resulting from the Providence's Rule 2.8 announcement do not apply to Epiris.
