2026 Annual General Meeting Results Update

In brief · summary, not quotable

Foxtons reports AGM votes where Resolution 2 (final dividend of 0.93 pence per share) passed with 75.04% for and 24.96% against; Resolution 15 (authority for political donations) passed 71.35%/28.65%; Resolution 16 (authority to allot ordinary shares) passed 61.45%/38.55%; Resolutions 17 and 18 (disapplication of pre-emption rights) failed despite 61.44%/38.56% and 61.36%/38.64% splits. The company engaged dissenting shareholders, noting dividend opposition reflects calls to prioritise other capital uses, and said votes against governance resolutions largely reflected shareholder policy positions; failure of 17/18 reduces the Board’s ability to effect rapid placings, potentially constraining future equity financing or M&A flexibility.

In accordance with provision 4 of the UK Corporate Governance Code, the Company is providing the following update to the Annual General Meeting (“AGM”) voting results announced on 7 May 2026 regarding the significant votes (defined as over 20% of votes cast) against the following resolutions:

ForAgainst
Resolution 2To declare a final dividend of 0.93 pence per ordinary share.75.04%24.96%
Resolution 15to authorise the Company to make political donations.71.35%28.65%
Resolution 16to authorise the Directors to allot ordinary shares.61.45%38.55%
Resolution 17to authorise the disapplication of pre-emption rights61.44%38.56%
Resolution 18to authorise the additional disapplication of pre-emption rights61.36%38.64%

Resolutions 2, 15 and 16 passed, and Resolutions 17 and 18 failed to pass.

The Company has engaged with the largest shareholders who did not support the resolutions to obtain their views.

The votes against Resolution 2 reflected feedback from certain shareholders that the payment of a final dividend should not be a capital allocation priority and that available capital may be better deployed towards other strategic and financial priorities of the business. The Board has carefully considered this feedback as part of its ongoing review of the Company's capital allocation framework. The Company notes that the significant votes against Resolutions 15, 16, 17 and 18 were attributable to the shareholders’ policy positions, rather than matters specific to the Company.

As detailed in the 2026 AGM Results announcement, the Company does not give any money for political purposes, nor does it make any donations to political organisations or incur political expenditure. However, in line with UK market practice, the authority under Resolution 15 is requested as a precautionary measure as the definitions of political donations and political expenditure used in the Companies Act 2006 (the “Act”) are very wide, to ensure that the Company does not inadvertently breach the relevant provisions of the Act.

The allotment authority under Resolution 16 falls within the Investment Association’s Share Capital Management Guidelines and was consistent with the approach taken by the Company at the prior AGM.

The authority to disapply pre-emption rights under Resolutions 17 and 18 falls within the Pre-Emption Group’s Statement of Principles, as revised in November 2022, and was consistent with the approach taken by the Company at the prior AGM.

The purpose of these resolutions is to afford the Board flexibility to act quickly in response to changing market conditions, should the appropriate circumstances arise and should it be in the best interests of the Company.

The Board remains committed to maintaining an open and transparent dialogue with shareholders and will proactively engage with shareholders on their corporate governance policies and any other concerns prior to the next AGM.
