Capita plc has announced that as of 30 September 2026, its total issued share capital comprises 120,830,667 ordinary shares, with each share carrying one vote, resulting in a total of 120,830,667 voting rights. The company currently holds no shares in treasury, and the 246,871 shares held by the Capita Employee Benefit Trust are excluded from the Earnings Per Share calculation. This total figure of 120,830,667 is to be used by shareholders for notification purposes regarding their interests in the company under the FCA's Disclosure Guidance and Transparency Rules.

The Company advises that its capital consists of 120,830,667 ordinary shares of 31 pence each, as at 30 September 2026. The voting rights of these shares are identical with each share carrying the right to one vote. The Company currently holds no ordinary shares in Treasury. Therefore, the total number of voting rights in Capita plc is 120,830,667.
The above figure, 120,830,667 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or change to their interest in, Capita plc under the FCA's Disclosure Guidance and Transparency Rules.
In addition, the above figure includes 246,871 shares currently held by the Capita Employee Benefit Trust and therefore excluded from the Company’s EPS calculation.
