Capita plc announced that as of September 30, 2025, its capital consists of 114,359,758 ordinary shares with a nominal value of 31 pence each. Each share carries one vote, resulting in a total of 114,359,758 voting rights. The company holds no ordinary shares in treasury. Shareholders can use this figure to calculate if they need to disclose their interest in Capita plc under FCA rules. The total also includes 303,305 shares held by the Capita Employee Benefit Trust, which are excluded from the company’s EPS calculation.

The Company advises that its capital consists of 114,359,758 ordinary shares of 31 pence each, as at 30 September 2025. The voting rights of these shares are identical with each share carrying the right to one vote. The Company currently holds no ordinary shares in Treasury. Therefore, the total number of voting rights in Capita plc is 114,359,758.
The above figure, 114,359,758 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or change to their interest in, Capita plc under the FCA's Disclosure Guidance and Transparency Rules.
In addition, the above figure includes 303,305 shares currently held by the Capita Employee Benefit Trust and therefore excluded from the Company’s EPS calculation.
