Receipt of £5m from the Subscription
Contango Holdings PLC has completed a £5 million subscription by issuing 450,450,451 new ordinary shares at 1.11 pence each, a premium of approximately 80% to the previous closing price, to Huo Investments Limited and Pacific Goal Investments Limited. These strategic investors, now considered a concert party, will collectively hold 50.1% of the company and will use the funds to settle outstanding loans and for general working capital. Following admission of the new shares on September 4, 2026, the company's enlarged issued ordinary share capital will be 1,208,429,691 shares. The company anticipates commencing dividend payments to shareholders in 2027.

The Company confirms the Subscription is now complete following the receipt of £5 million from the Subscription of 450,450,451 new ordinary shares at the issue price of 1.11 pence, a premium of approximately 80% from the closing mid-market price as at 27 August 2026.
The Subscription was undertaken by Huo Investments Limited ("Huo Investments"), an existing Shareholder holding 154,750,000 Ordinary Shares in the Company, and Pacific Goal Investments Limited ("PGI HK"), who did not previously hold any shares in the capital of the Company (together the "Strategic Investors"). The Strategic Investors are deemed a concert party and will hold an aggregate of 50.1% of the Company.
The funds will be applied to payment of outstanding loans and for general working capital as detailed in the circular published on 08 July 2026.

'I am delighted to confirm the Subscription has now closed following the receipt of £5 million from the Strategic Investors, enabling all outstanding liabilities to be settled. The balance of cash plus the next dividend payment of a minimum of US$2 million due by the end of the year will leave the company with a solid balance sheet.
Shifting to a royalty model has significantly streamlined the ongoing cost of the business and we anticipate being to commence dividend payments to shareholders in 2027.
I would like to thank the Strategic Investors for their continued support and assistance in this process. They have invested material sums historically at Muchesu and assumed operatorship. This latest investment into the Company, at a material premium to market, ensures they become the largest shareholders in the Company and are fully aligned with a royalty growth and subsequent dividend model.

Admission and Total Voting Rights
An application has been made for 450,450,451 new ordinary shares to be admitted to trading on the official list and main market of the London Stock Exchange from 8.00 a.m. on 4 September 2026 ("Admission").
Total Voting Rights
In accordance with the FCA's Disclosure Guidance and Transparency Rules, the Company confirms that following Admission, the Company's enlarged issued ordinary share capital will comprise1,208,429,691 Ordinary Shares. The Company does not hold any Ordinary Shares in Treasury. Therefore, following Admission, the above figure may be used by shareholders in the Company as the denominator for the calculations to determine if they are required to notify their interest in, or a change to their interest in the Company, under the FCA's Disclosure Guidance and Transparency Rules.
