Exercise of Warrants and TVR
Bezant Resources Plc announced the issuance of 285,500,000 new ordinary shares following the exercise of warrants, with 275,500,000 shares issued at 0.06p each and 10,000,000 shares at 0.04p each. These new shares will rank pari passu with existing ordinary shares, and application has been made for their admission to trading on AIM, expected around January 29, 2026. Upon admission, the company's total issued share capital will be 18,142,154,126 ordinary shares, which will serve as the denominator for shareholders calculating their notification obligations under the FCA's Disclosure Guidance and Transparency Rules.

Bezant (AIM: BZT), the copper-gold exploration and development company, announces the Issue of a total of 285,500,000 new ordinary shares upon exercise of warrants. Pursuant to the exercise of warrants at:
- a price of 0.06p per share in terms of the fundraising announced on 4 December 2023 the Company is issuing a total of 275,500,000 fully paid ordinary shares of 0.002p each in the Company ("Ordinary Shares"); and
- a price of 0.04p per share in terms of the fundraising announced on 24 December 2024 the Company is issuing a total of 10,000,000 fully paid Ordinary Shares(together the "Warrant Exercise Shares").
Application to trading on AIM: Application will be made to the London Stock Exchange for the Warrant Exercise Shares to be admitted to trading on AIM. It is expected that admission will become effective and that dealings in the Warrant Exercise Shares will commence at 8.00 a.m. on or around 29 January 2026 (the "Admission").
Issued Share Capital: Following the issue of the Warrant Exercise Shares the Company's total issued share capital will consist of 18,142,154,126 Ordinary Shares with voting rights. The Company does not hold any Ordinary Shares in treasury and accordingly there are no voting rights in respect of any treasury shares.
Total Voting Rights: On Admission, the above mentioned figure of 18,142,154,126 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Bezant under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
