Baltic Classifieds Group PLC (LSE: BCG), the leading online classifieds group in the Baltics, announces that its share buyback programme announced on 1 June 2026 has continued following the renewal of the Company’s authority to purchase its own shares at the Annual General Meeting held on 23 September 2026 (the Buyback Programme).
The Buyback Programme will continue on an ongoing basis under the authority granted by shareholders at the Company's Annual General Meeting held on 23 September 2026. This authority expires at the earlier of the conclusion of the Company's 2027 AGM or the close of business on 23 December 2027.
Until such time as further authority is sought, the maximum number of shares that may be purchased as part of the Buyback Programme shall not exceed 64,650,733 shares, being the authority granted to the Company at its 2026 AGM. The Buyback Programme is subject to a maximum aggregate consideration of €230 million, which represents an upper limit rather than a target or an indication of the amount the Company intends to allocate. The actual number of shares purchased will depend on prevailing market conditions and the Company is not obliged to purchase any particular number of shares.
The purpose of the Buyback Programme is to reduce the Company's share capital and to return capital to shareholders. It is intended that shares purchased under this programme will be immediately cancelled.
The Buyback Programme will be conducted in accordance with the Company's general authority to repurchase shares, the UK Listing Rules and relevant conditions for trading, restrictions regarding time and volume, disclosure and reporting obligations, and price conditions.
