Amigo announces that a circular incorporating a notice of a general meeting, to be held at 1:30pm on 19 December 2025 at Bournemouth Highcliff Marriott Hotel, 105 St Michael's Road, Bournemouth, BH2 5DU (the "General Meeting"), will shortly be posted to Amigo's shareholders (the "Circular").

Why is Amigo holding a General Meeting?

The purpose of the General Meeting is to seek permission for Amigo to issue new ordinary shares, without offering pre-emption rights to existing shareholders and to issue the new shares at a discount to the closing mid-market price on the day prior to the Capital Raise of more than 10%. On 14 November 2025, Amigo announced that Craig Ransley, a Board consultant, had successfully introduced investors that irrevocably agreed to subscribe for a £1.5 million capital raise by the Company ("Capital Raise"). The Capital Raise will be by way of mandatory convertible loan notes that will convert into 500,000,000 new ordinary shares of 0.25p each fully paid ("Ordinary Shares") at 0.3p per share will rank pari passu in all respects with the existing issued ordinary share. The drawdown of the Capital Raise is conditional on the resolution being approved at the General Meeting.

Amigo is also seeking to raise up to £188,100 from existing shareholders by the issue of 62,700,000 new Ordinary Shares and full information will be published in due course. Completion of this raise will be conditional on the resolution being approved at the General Meeting.
