Xaar plc has announced that as of November 30, 2025, its total issued share capital comprises 79,783,945 ordinary shares, with no shares held in treasury, resulting in a total of 79,783,945 voting rights. This figure includes 91,250 ordinary shares held by Xaar Trustee Limited and 751,101 ordinary shares held by the Xaar plc ESOP Trust, and will serve as the denominator for shareholders calculating their notification requirements under the FCA's Disclosure and Transparency Rules.

In accordance with the Financial Conduct Authority's ("FCA") Disclosure and Transparency Rule 5.6.1, Xaar plc (the "Company") announces that the Company's issued share capital consists of 79,783,945 ordinary shares of 10 pence each ("Ordinary Shares") as at the date of this notice. There are no Ordinary Shares held in treasury. Accordingly, the total number of voting rights in Xaar plc at 30 November 2025 is 79,783,945.
Included in the total number of voting rights are 91,250 Ordinary Shares currently held by Xaar Trustee Limited and 751,101 Ordinary Shares currently held by the Xaar plc ESOP Trust.
The above figure of 79,783,945 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Xaar plc under the FCA's Disclosure and Transparency Rules.
