Director/PDMR Shareholding
On September 30, 2025, Wilmington PLC granted nil cost awards over 560,800 ordinary shares and options with a £3.35 per share exercise price over 180,949 ordinary shares to employees. Executive Director Mark Milner received awards over 219,224 shares, while Executive Director Guy Millward received awards over 140,988 shares. PDMR Ruth Abdey received awards over 35,015 shares and PDMR Richard Shamsi received awards over 44,941 shares. The vesting of these awards is contingent upon meeting performance conditions assessed over three years, with Executive Directors and other PDMRs required to retain acquired shares (after tax sales) until two years post-vesting.

On 30 September 2025, nil cost awards over 560,800 ordinary shares in Wilmington plc (the "Company") and options with a per share exercise price of £3.35 over 180,949 ordinary shares in the Company were granted under the Wilmington Performance Share Plan 2017 (the "Plan") to employees of the Company and its subsidiaries, of which the following nil cost awards were made to Directors of the Company and other Persons Discharging Managerial Responsibilities ("PDMRs"):
