Further Statement re Possible Offer
RHI Magnesita N.V. has announced an extension to the PUSU deadline for its possible offer for Vesuvius plc, now set for 5pm on 24 November 2026. This extension aligns with an agreement on a disposal revenue threshold for anti-trust conditions and a related reverse break fee. Vesuvius' largest shareholder, Cevian Capital II Master Fund L.P., has also extended its irrevocable undertaking to support the offer, reflecting substantial progress in negotiations. RHI Magnesita remains committed to constructive engagement with Vesuvius' board to agree terms for a recommended transaction, though no firm offer is guaranteed.
