Acquisition Update

Further to its announcement (RNS Number: 1604W) on 6 February 2025, the Company is pleased to announce that the long stop date of 28 February 2025 specified in the English law governed acquisition agreement (cast as a deed) between the Company and certain vendors in relation to the Company's acquisition of the entire share capital of Technologies New Energy S.A., dated 5 February 2024, has today been extended by mutual agreement of the parties thereto to 30 April 2025, pursuant to a deed of amendment.

The Company continues to constructively engage with the FCA with respect to the approval of its prospectus relating to, inter alia, the Acquisition and Admission, and the eligibility for an ES(T)C Listing of the enlarged group, and to progress with associated workstreams.

The Company intends to proceed as quickly as possible towards Admission, however, there can be no certainty that Admission will occur or, therefore, that the Acquisition will be completed.

Further announcements will be made in due course, as appropriate.
