PDMR/PCA Shareholding & TR-1 Notification
THG PLC announced that Matthew Moulding, through FIC Shareco Limited, transferred 25,000,000 ordinary voting shares at 35p per share to family, friends, and The Moulding Foundation, with restrictions on resale for at least 12 months. The Moulding Foundation, which previously sold shares in June 2022 for £2.5 million at 82.44p per share, remains well-funded for charitable projects. Following these transactions, Matthew Moulding's total equity interest in THG PLC is 429,268,204 shares, representing approximately 24% on a fully diluted basis, with his direct voting rights percentage decreasing from 20.24% to 18.72%.

The Company announces that it received the below notifications on 22 October 2026 confirming that Matthew Moulding, through his family investment company FIC Shareco Limited ("FIC"), has transferred 25,000,000 ordinary voting shares of £0.005 each in the Company to family, friends and The Moulding Foundation ("TMF").
TMF and Matthew Moulding’s family members have each undertaken:
not to sell those shares for a minimum period of 12 months; and
if they wish to sell subsequently, to sell those shares back to Matthew Moulding or FIC.
TMF last sold shares in the Company in June 2022 to fund specific charitable projects in the community. Those shares were purchased from TMF by Matthew Moulding at 82.44p per share, providing TMF with £2.5m of additional funds. TMF remains well-funded to deliver ongoing community projects, with no need to raise further capital for at least 12 months.
In accordance with the Disclosure Guidance and Transparency Rules (the "DTR"), Matthew Moulding’s equity interest equates to 429,268,204 shares in the Company, being approximately 24 per cent. on a fully diluted basis, comprising 307,078,116 ordinary voting shares and 122,190,088 unlisted ordinary shares.
