Tekmar Group plc (AIM: TGP), the leading provider of technology and services for the global offshore energy markets, confirms that further to the announcement dated 14 November 2023 it has issued 458,716 ordinary shares of 1 pence each in the share capital of the Company ("Ordinary Shares") as part of the Group's agreement to acquire the remaining 20 per cent. of Ryder Geotechnical (the "Transaction").

The Transaction agreement included a balance of £50,000 to be paid in the form of shares in the Company maturing equally on the first and second anniversary of the Transaction, provided both Nigel Martin and Fraser Gibson (the "Sellers") remained employed by the Company. Accordingly, Nigel Martin has been issued with 201,835 Ordinary Shares and Fraser Gibson has been issued 256,881 Ordinary Shares. The shares were issued at a price of 5.45 pence per share based on a closing mid-market price of the Company's Ordinary Shares on 12 November 2025, being the last practicable day prior to the second anniversary of the Transaction.

Application has been made for the 458,716 new Ordinary Shares to be admitted to trading on AIM ("Admission"), and dealings are expected to commence on or around 18 December 2025. The new Ordinary Shares will rank pari passu with the Company's existing Ordinary Shares.

Following Admission, the Company will have 139,551,387 Ordinary Shares of 1 pence each in issue. The Company has no shares in treasury, therefore the figure of 139,551,387 should be used by shareholders for the calculations by which they will determine if they are required to notify their interest in, or a change of their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
