The Smarter Web Company PLC has updated its Subscription Agreement, successfully placing 1,414,047 Ordinary Shares for gross proceeds of £542,897, or approximately £0.38 per share, with the company retaining 98.25% of these funds. The announcement also notes that 57,419,453 Ordinary Shares remain unplaced under the agreement.

| The Smarter Web Company (LSE: SWC | OTCQB: TSWCF | FRA: 3M8) announces that 1,414,047 Ordinary Shares have been placed in accordance with the terms of the Subscription Agreement announced on 24 December 2025 (the "Subscription Shares"). |
The gross proceeds from the placing of the Subscription Shares will be £542,897 (before expenses), equivalent to approximately £0.38 per share, and the Company will receive approximately 98.25% of the proceeds as settlement. The balance of Ordinary Shares not yet placed pursuant to the Subscription Agreement is 57,419,453.
