Result Of Bookbuild Raising £17.5 Million

With a high level of demand the Bookbuild has raised £17,543,942 (before expenses), through the issue of a total of 5,947,099 new ordinary shares of £0.001 each ("Ordinary Shares") at £2.95 per share ("Offer Price"). The Offer Price was at the closing bid price on 17 July 2025.

It is expected that Admission of the new Ordinary Shares will become effective at 08:00, on or around 23 July 2025. The Bookbuild is conditional upon, among other things, Admission becoming effective.

The Bookbuild Ordinary Shares, when issued, will be fully paid and will rank pari passu in all respects with each other and with the existing Ordinary Shares of the Company, including, without limitation, the right to receive all dividends and other distributions declared, made or paid after the date of issue.

Total Voting Rights

Following Admission, the total number of Ordinary Shares in issue in The Smarter Web Company will be 265,596,547 ordinary shares of £0.001 each. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.

Appendix

Details of the Placing Agreement and the Placing Shares

Application for admission to trading on Aquis

An application has been made to the Aquis Stock Exchange Limited for admission to trading on Access Segment of the AQSE Growth Market of the Placing Shares ("Application"). It is expected that settlement of the Placing Shares and admission of those Ordinary Shares ("Admission") will become effective at 8.00 a.m. on 23 July 2025 and that dealings in the Placing Shares will commence at that time.

Placing

The principal terms of the Placing are as follows:

• The timing of the closing of the Placing will be at the discretion of the Brokers.

Conditions of the Placing

• the delivery of placing deliverables to the Brokers;
• the date of Placing Agreement; and
• the closing of the Placing ("Closing Date"),
• the Placing Shares having been allotted, subject only to Admission;
• the obligations of the Brokers not having been terminated under the Placing Agreement;
• Admission having become effective by the Closing Date.

Right to terminate the Placing Agreement

• Peterhouse or Tennyson are of the reasonable opinion (acting in good faith) that:
• in the reasonable opinion of Peterhouse and/or Tennyson (acting in good faith), any:
• outbreak, declaration or escalation of hostilities; or
