FY2026 profit of £38.7m only confirms the upgraded expectation of £38.4m already set by the September trading update. What is new is the cost of 'Go National': £7-9m of transition costs in FY2027 on top of £21-27m of implementation spend, a profit hit that year, only £0-2m of added profit in FY2028 and £12-18m from FY2029. There is also no special dividend, and the FY2027 ordinary dividend is guided to a 5.2p consensus that sits below the 5.65p paid for FY2026.

New
The promised guidance on the national expansion is now quantified: £21-27m of implementation cost (half adjusting items, half capex) plus £7-9m of transition costs in FY2027.
Then · 29 Sep 2026 · Post Year-End Trading Update“The Company intends to provide further guidance on the financial effects of this network expansion at the time of its FY2026 results, which will be announced on Wednesday, 4 November 2026.” -
New
The payback is slow: the new contracts add only £0-2m of net profit in FY2028 and £12-18m a year from FY2029, against FY2026 adjusted operating profit of £38.7m. FY2027 profit is guided down.
“The new contracts are expected to deliver incremental net profit per annum of between £0m and £2m in FY2028, and between £12m and £18m from FY2029.” -
Worse
There is no special dividend (FY2025: 3.0p), and the FY2027 ordinary dividend is guided only to 'at or above' a 5.2p consensus, which is below the 5.65p ordinary dividend for FY2026.
“Given the investment required to deliver national expansion, there will be no special dividend paid in FY2026 (FY2025: 3.0 pence per share), but we remain committed to maintaining the current ordinary dividend for FY2027 at or above current consensus...” -
Worse
Free cash flow for the full year was £24.1m, so the second half generated only about £2.9m after £21.2m in the first half. Collectables working capital turned from a £7.6m first-half benefit to a £5.8m outflow for the year.
Then · 6 May 2026 · Interim Results as at 28 February 2026“Strong free cash flow of £21.2m, generated in line with expectations and includes a working capital benefit in the Period of £7.6m” -
Worse
Growth verticals grew 31% for the year, slower than the 35% in the first half, and still under 1% of revenue. New-business selling in final mile and new categories is now paused while the national network is built.
Then · 6 May 2026 · Interim Results as at 28 February 2026“Investment in growth verticals continues, delivering 35% revenue growth in the Period, principally driven by the Recycling division, with revenues up over 50%”
1 point only confirm what the company said before
- FY2026 adjusted operating profit of £38.7m is in line with the £38.4m consensus that was reset after the trading update (it was £37.2m before). It is down £0.4m on the year because the £3.5m World Cup benefit was more than offset by cost pressures. “Adjusted operating profit, while in line with updated expectations, decreased by £0.4m to £38.7m (FY2025: £39.1m): the benefit of the FIFA Men's Football World Cup was more than offset by the impact of higher National Insurance Contributions, increased...”
What the notes say – not in the headline numbers
Net assets are only £10.7m. The covenant ratio of Bank Net Debt to Bank EBITDA is -0.1x against a 2.5x limit, and the £40.0m RCF and £3m overdraft were undrawn. The going concern period runs to 26 February 2028, which includes the July 2027 go-live and FY2027 transition costs; no material uncertainty is identified.
The balance sheet is thin, so the expansion spending relies on bank headroom and covenant compliance rather than a cushion of equity.
“The Group had a net asset position of £10.7m as at 29 August 2026.”The RCF maturity is extended to 2 May 2029. The £21-27m implementation cost and £7-9m of transition costs are to be funded from existing facilities, which comprise a £40m RCF (£38.7m available), a £10m uncommitted accordion and year-end cash of £4.0m.
Borrowing will rise as the spending peaks, which will test the facility and the 2.5x leverage covenant that can make the loan repayable on demand.
“During the current year, the second one-year extension was exercised, which extended the maturity date to 2 May 2029.”Average days to collect from customers rose to 35 (2025: 32) while average days to pay suppliers rose to 32 (2025: 30), so the two broadly offset. The reported £5.8m working capital outflow relates to collectables.
Cash flow depends on the timing of collections and supplier payments, and the going concern mitigations lean on managing the intra-month swing and supplier payment cycles.
“The average credit period taken on sale is 35 days (2025: 32 days).”The largest customer accounted for £125.3m of revenue (2025: £100.3m), about 12% of the £1,036.2m group total. The next three customers made up 18.4% of revenue (2025: 13.1%).
Dependence on a few customers is rising, and the new exclusive contracts with five publishers will concentrate it further.
“Included in revenues arising from Smiths News are revenues of £125.3m (2025: £100.3m) which arose from sales to the Group's largest customer.”Promises management made Track record →
