This notification is made pursuant to Article 32 of the articles of association of Shaires Holdings Ltd. Ava Investors SA acts as discretionary investment manager of Ava Private Markets S.à r.l. (APM) under the investment management agreement, including in respect of APM’s holdings in Shaires. Ava Investors SA is the notifying investment manager and indirect holder; APM is the direct shareholder. APM’s aggregate holding comprises 691,789 ordinary shares. The same shares are counted once. This is the initial notification following acquisition of APM’s holding in Shaires. The 691,789 shares represent the resulting position at the threshold-crossing date in section 5. No previous TR-1 has been submitted for this holding. The total voting-rights denominator at that date is 4,796,934. Each ordinary share carries one vote; there are no treasury shares or other classes carrying voting rights. On that basis, the combined holding is approximately 14.42148%, reported as 14% after rounding down. The applicable investment-manager notification thresholds are 5%, 10% and each 1% above 10%. For section 9, Ava Investors SA is treated as not controlled by any natural person or legal entity and as not controlling any undertaking holding an interest in Shaires. Its investment management mandate over APM’s assets is not a corporate ownership relationship. There are no reportable financial instruments or separate proxy arrangements in addition to the discretionary investment management mandate. Sections 8B and 10 are therefore nil/not applicable.
