Software Circle plc has been notified of significant shareholding changes. Electa Value Capital Fund AGmvK increased its holding to 6,782,977 ordinary shares, representing 1.74% of the issued share capital, and in aggregate with Abacus Value Capital Fund AgmvK, they now hold 7.39% or 28,826,405 shares. Concurrently, P&R Real Value reduced its stake to 49,443,143 ordinary shares, now accounting for 12.68% of the issued share capital, a move attributed to an increase in the company's share price and fund restrictions.

Software Circle (AIM: SFT) announces that the Company has today been informed of the following changes to shareholdings in the Company following an acquisition and disposal of shares in the Company on 11 November 2025:

Electa Value Capital Fund AGmvK ("Electa") has the same AIFM and Portfolio Manager as Abacus Value Capital Fund AgmvK ("Abacus"), which currently owns 22,043,428 ordinary shares in the Company. In aggregate, Abacus and Electa hold 28,826,405 ordinary shares in the Company, representing 7.39% of the Company's issued share capital.
The Company has been informed that the change in P&R Real Value's shareholding is a result of an increase in the Company's share price and a restriction in place regarding the value of a single holding which P&R Real Value is permitted to have in its funds.
