Fundraising Update
Rockfire Resources plc has updated its fundraising, with the first tranche of 1,913,636,356 New Ordinary Shares, representing £2,105,000 before expenses, expected to be admitted to AIM on or around August 24, 2026. The second tranche of 40,909,090 New Ordinary Shares, representing £45,000 before expenses, is anticipated to be admitted on or around September 7, 2026. Following the first admission, the company's total issued ordinary share capital will be 10,665,020,717 shares, which will serve as the denominator for shareholder notification calculations under FCA rules.

Rockfire Resources plc (LON: ROCK), the base metal, precious metal, and critical mineral exploration company, provides the following update in respect of the Company's Fundraise as originally announced on 10 August 2026.
The Company previously announced that it expected that the 1,954,545,446 New Ordinary Shares will be admitted to trading on AIM ("Admission") on or around 24 August 2026.
Accordingly, it is now anticipated that 1,913,636,356 New Ordinary Shares (representing £2,105,000.00 before expenses) (together the "First Tranche") will admit to trading on AIM on or around 24 August 2026 ("First Admission"). The remaining 40,909,090 New Ordinary Shares (representing £45,000.00 before expenses) ("together the "Second Tranche") will admit to trading on AIM on or around 7 September 2026 ("Second Admission").
All other terms of the Fundraise, as otherwise outlined in this announcement, remain unchanged from those terms as originally announced by the Company on 10 August 2026
Total voting rights
Upon First Admission, the Company's issued ordinary share capital will consist of 10,665,020,717 ordinary Shares of 0.1 pence each, with one voting right each. The Company does not hold any ordinary Shares in treasury. Therefore, the total number of ordinary Shares in issue and voting rights in the Company will be 10,665,020,717. With effect from First Admission, this figure may be used by Shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
