Issue of Shares

Total Voting Rights

RentGuarantor (AIM: RGG), a leading provider of rent guarantee services, which includes property protection, to tenants and landlords in the UK1 private rental sector, announces that, pursuant to an engagement letter with Southernwood Consulting Limited (“Southernwood”) dated 17 October 2025 (the “2025 Engagement Letter”), in settlement of certain of the fees arising from the Company's fundraising announced on 7 November 2025 (the "2025 Fundraising") it has agreed to issue 937,302 new Ordinary Shares. Southernwood acted as a placing agent in connection with the 2025 Fundraising.

The 2025 Fundraising raised gross proceeds of approximately £2.54 million through the issue of Ordinary Shares at 12.5 pence per share, and was accompanied by associated warrants exercisable at 17.5 pence per share (the “Warrants”). As subsequently announced, all of those Warrants have now been exercised, generating additional gross proceeds of approximately £3.56 million for the Company, of which £3.28 million was attributable to Southernwood.

Under the terms of the Engagement Letter, Southernwood was entitled to a cash fee equivalent to 5% in respect of subscriptions introduced by it at the time of the 2025 Fundraising and a further fee of 5% to be settled in equity on the subsequent exercise of all the Warrants. All fees were agreed at the time of the Fundraising. The fee arising in connection with the exercise of the Warrants is being satisfied through the issue of Ordinary Shares at the warrant exercise price of £0.175 per share, in accordance with the 2025 Engagement Letter.

Accordingly, conditional on Admission, the Company has allotted and issued 937,302 new ordinary shares of 10 pence each (“Ordinary Shares”) to Southernwood in satisfaction of fees, representing the outstanding balance of the fees due under the Engagement Letter.
