Update On Financing Arrangements
FirstCash Holdings, Inc. has provided an update on the financing arrangements for its recommended cash offer for Ramsdens Holdings PLC. The acquisition, to be implemented via a scheme of arrangement, is proceeding as planned, with Ramsdens shareholders having approved the resolutions at recent meetings. FirstCash intends to draw down funds under its revolving unsecured credit facility to finance the acquisition and related expenses, including potential repayment of Ramsdens' outstanding debt. An amendment to this credit facility has been finalized and published.

Update on financing arrangements
Introduction
On 23 June 2026, the boards of directors of Chess Bidco Limited ("Bidco") and Ramsdens Holdings PLC ("Ramsdens") announced, pursuant to Rule 2.7 of the Code, that they had reached an agreement on the terms of a recommended cash acquisition, pursuant to which Bidco, an indirect wholly-owned subsidiary of FirstCash Holdings, Inc. ("FirstCash"), would acquire the entire issued and to be issued share capital of Ramsdens.
On 10 August 2026, the Ramsdens Board announced that, at the Court Meeting and General Meeting held that day, all of the resolutions proposed in connection with the Acquisition had been approved by the requisite majorities.
Unless otherwise defined, capitalised terms used in this announcement have the same meanings as set out in the Scheme Document.
FirstCash RCF Agreement
As stated in the Scheme Document, FirstCash currently envisages drawing down funds under its US revolving unsecured credit facility (as may be amended, restated, varied or replaced from time to time) (the "FirstCash RCF Agreement") prior to the Effective Date to permit Bidco to finance the Acquisition and to pay related fees and expenses, including potential repayment of Ramsdens' outstanding indebtedness.
On 31 August 2026, FirstCash announced (the "FirstCash Announcement") that it had amended the terms of the FirstCash RCF Agreement pursuant to the terms of the tenth amendment to the FirstCash RCF Agreement (the "Further Amendment to the FirstCash RCF Agreement") as summarised in the FirstCash Announcement. Further to the FirstCash Announcement, Bidco announces that the Further Amendment to the FirstCash RCF Agreement has today been published on FirstCash's website and is available as set out in the section headed "Availability of documents" below. The Further Amendment to the FirstCash RCF Agreement includes at Annex A a marked-up version of the FirstCash RCF Agreement as summarised in paragraph 6.3 of Part VI (Additional Information on Ramsdens, FirstCash and Bidco) of the Scheme Document illustrating the amendments that have been made.
