Rosslyn (AIM: RDT), the provider of a leading cloud-based enterprise data analytics platform, announces that, following the closing of the Retail Offer by BookBuild earlier today, 2,395,600 Retail Offer Shares will be issued at 2.0 pence per Retail Offer Share in connection with the Retail Offer.

Consequently, the Company has conditionally raised total gross proceeds of approximately £1.13 million pursuant to the Firm Placing, the Conditional Placing, the issue of the 2026 Convertible Loan Notes and the Retail Offer. The 7,399,000 new Ordinary Shares issued pursuant to the Firm Placing were admitted to trading on AIM at 8.00 a.m. today.

The Retail Offer, the Conditional Placing, the issue of the 2026 Convertible Loan Notes and the issue of the Fee Shares are conditional on, inter alia, the passing of the Resolutions by Shareholders at the General Meeting to be held on 13 April 2026.

Application will be made for the 36,516,451 new Ordinary Shares, comprising the Conditional Placing Shares, the Fee Shares and the Retail Offer Shares, to be admitted to trading on AIM. Subject to the Resolutions being passed by Shareholders at the General Meeting, it is expected that Second Admission to trading on AIM will occur no later than 8.00 a.m. on 14 April 2026.

Following Second Admission, the total number of Ordinary Shares in issue will be 117,902,876 with each Ordinary Share carrying the right to one vote. There are, and following Second Admission will be no Ordinary Shares held in treasury and therefore the total number of voting rights in the Company is expected to be 117,902,876. The above figure may be used by Shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure, Guidance and Transparency Rules.
