Share Incentive Plan - Director/PDMR Shareholding
Oxford Nanopore Technologies plc has announced that on September 14, 2026, its Share Incentive Plan (SIP) trustee awarded Partnership Shares to two Persons Discharging Managerial Responsibilities (PDMRs). Francis Van Parys, the Chief Executive Officer, and Nick Keher, the Chief Financial Officer, each received 96 Ordinary Shares purchased at £1.57 per share, totaling £150.72 for each individual. In addition, the company issued 96 Matching Shares to each PDMR under the SIP, which were awarded at no cost.

The Company has been notified by Computershare Trustees Limited, the trustee of the SIP (the "SIP Trustee") that on 14 September 2026, it made an award of Partnership Shares (as defined in the SIP) of 96 Ordinary shares of £0.0001 each ("Ordinary Shares") on behalf of Francis Van Parys, a director of the Company and a Person Discharging Managerial Responsibilities ("PDMR") and 96 Ordinary Shares on behalf of Nick Keher, a director of the Company and a PDMR. The Ordinary Shares were purchased using each participating employee's gross salary at a price of £1.57 per Ordinary Share.
Under the SIP, the SIP Trustee will award each participating employee one Matching Share (as defined in the SIP) for each Ordinary Share purchased by the employee under the SIP. On 14 September 2026, the Company issued 96 Ordinary Shares to the SIP Trustee to hold on behalf of Francis Van Parys to satisfy the Matching Shares awarded under the SIP to him on that date, and 96 Ordinary Shares to the SIP Trustee to hold on behalf of Nick Keher to satisfy the Matching Shares awarded under the SIP to him on that date.
