Share Incentive Plan Purchase
Ondo InsurTech Plc announced that its Share Incentive Plan (SIP) purchased 100,790 ordinary shares at 3.90 pence per share on May 1, 2026, for participants including CEO Craig Foster and CFO Kevin Withington. Foster acquired 3,850 partnership shares and received 3,850 matching shares, increasing his beneficial holding to 2,512,746 shares (1.68%), with an additional 270,000 shares held by his wife. Withington acquired 3,850 partnership shares and received 3,850 matching shares, bringing his beneficial holding to 360,818 shares (0.24%). The total aggregated purchase price for the 7,700 partnership shares by these directors was 1.95 pence per share.

Ondo InsurTech Plc (LSE: ONDO), a leading provider of claims prevention technology for home insurers, received notification on 1 May 2026 from Fiduchi Trustees Limited (UK) (the "SIP Trustee") in relation to the purchase of 100,790 Ondo ordinary shares of 5 pence each ("Ordinary Shares") for the benefit of participants of the Ondo Share Incentive Plan (the "SIP"), which includes Craig Foster and Kevin Withington, both Directors of the Company, outlined below in accordance with the rules of the SIP (the "SIP Award").
Details of the number of Partnership Shares purchased by each of the Directors at a price of 3.90 pence per Ordinary Share, and the number of Matching Shares allocated by the SIP Trustee to the participants for no consideration, is set out against their names in the table below.
