Issue of Equity to Settle Deferred Remuneration

Nativo Resources plc (LON:NTVO), a gold-focused mining company with interests in Peru, announces that it has issued 6,509,118 shares to a former Director in lieu of deferred salaries and fees outstanding (the "Deferred Remuneration Shares").
The Deferred Remuneration Shares will be issued at £0.004440 per share, representing the Company's share price at market close on 13 November 2025 of £0.0037 with a 20% premium added.
Admission and Total Voting Rights
Application has been made to the London Stock Exchange for the 6,509,118 Deferred Remuneration Shares to be admitted to trading on AIM ("Admission") and it is expected that such Admission will take place at 8.00 a.m. on or around 21 November 2025.
In accordance with the provision of the Disclosure Guidance and Transparency Rules of the Financial Conduct Authority, the Company confirms that, following the issue of the above Deferred Remuneration Shares, its issued Ordinary share capital will comprise 542,246,331 Ordinary Shares. All the Ordinary Shares have equal voting rights and none of the Ordinary Shares are held in Treasury. The total number of voting rights in the Company will therefore be 542,246,331. The above figure may be used by shareholders as the denominator for the calculations to determine if they are required to notify their interests in, or a change to their interest in, the Company.
