Placing to Raise £150,000

Nativo Resources plc (LON:NTVO), a gold-focused mining company with interests in Peru, announces it has raised gross proceeds of £150,000 through a placing by Peterhouse Capital Limited (the "Placing") of 42,857,142 new ordinary shares of 0.15 pence each ("Ordinary Shares") in the Company (the "Placing Shares") at a price of 0.35 pence ("Placing Price"). The Placing Price represents a premium of approximately 7.7 per cent. to the closing middle market price on 31 July 2025, being the last practicable date prior to the publication of this announcement.

The Placing has been conducted within the Company's existing share capital authorities and will provide general working capital.

Admission and Total Voting Rights

Application will be made to the London Stock Exchange for admission of the Placing Shares to trading on AIM ("Admission"). It is expected that Admission will become effective and dealings will commence at 8.00 a.m. on or around 8 August 2024.

Following Admission, the total number of Ordinary Shares in the capital of the Company in issue will be 290,292,675 with voting rights. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company's share capital pursuant to (i) the Company's Articles, (ii) the Financial Conduct Authority's Disclosure Guidance and Transparency Rules and/or (iii) the AIM Rules for Companies issued by the London Stock Exchange plc as amended from time to time.
