Total Voting Rights
NewRiver REIT plc has announced its total voting rights as of December 31, 2025, stating that its issued share capital comprises 429,969,475 ordinary shares, with 2,630,275 shares held in the Employee Benefit Trust. Consequently, the total number of voting rights available to shareholders is 427,339,200, which shareholders should use as the denominator for calculating any notification requirements under the FCA's Disclosure and Transparency Rules.

The Company's issued share capital consists of 429,969,475 ordinary shares of one penny each with voting rights, of which 2,630,275 ordinary shares are held in the Employee Benefit Trust (EBT).
Accordingly, the total number of voting rights in the Company is 427,339,200.
The above figure of 427,339,200 may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change of their interest in, the Company under the Disclosure and Transparency Rules of the FCA.
