Mind Gym PLC has withdrawn Resolution 4 from its Annual General Meeting 2026 notice, which concerned the re-election of Octavius Black as a Director, following his immediate resignation from the Board announced on August 3, 2026. This withdrawal does not impact the validity of the notice, proxy forms, or votes cast on other resolutions, though any votes already submitted for Resolution 4 are now void.

Following the announcement by the Company on 3 August 2026 of Octavius Black's resignation from the Board of the Company with immediate effect, the Company confirms that the resolution to re-elect Octavius Black as a Director of the Company (Resolution 4 of the Notice of Annual General Meeting 2026 (the Notice)) is withdrawn.
The withdrawal of Resolution 4 does not affect the validity of the Notice, the proxy form or any votes already submitted in respect of the remaining resolutions in the Notice. Any votes already cast in relation to Resolution 4 are of no effect. The numbering of all other resolutions in the Notice remains unchanged.
