SAYE options exercise and Treasury Shares Transfer
Mercia transferred 1,456,597 Ordinary Shares from Treasury on 2 November 2026 to satisfy employee SAYE option exercises; issued share capital as at that date was 420,591,051 Ordinary Shares with 9,760,306 held in Treasury, giving total voting rights of 420,591,051. Three PDMRs each exercised 89,527 options at 20.72p on 2 November 2026 (total PDMR purchases 268,581 shares), resulting holdings of Mark Payton 7,732,692, Martin Glanfield 2,344,928 and James Sly 166,450. The Treasury transfer increases shares in public hands and may alter free float and shareholder disclosure thresholds.

Exercise of Save as You Earn ("SAYE") options and Transfer of Treasury Shares
Mercia Asset Management PLC (AIM: MERC), the proactive, regionally focused private capital asset manager with over £2.2billion of assets under management, announces that on 2 November 2026, the Company transferred 1,456,597 Ordinary shares of £0.00001 ("Ordinary Shares") from Treasury to satisfy the exercise by employees of SAYE options.
The Company confirms that as at 2 November 2026, its issued share capital consisted of 420,591,051 Ordinary Shares, all with voting rights. In addition, 9,760,306 shares are currently held in Treasury. The total number of voting rights in the Company as at 2 November 2026 is therefore 420,591,051 and this figure may therefore be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, to the Company.
