Transaction in Own Shares
Macfarlane repurchased and cancelled 277,979 ordinary shares under its October 2026 buyback programme at an overall average price of 81.03 pence, for an aggregate consideration of approximately £225,238; purchases took place 26–30 October with daily VWAPs of 80.983p, 79.700p, 80.859p, 82.279p and 81.400p. Following cancellation, issued share capital and total voting rights are 153,473,911 ordinary shares, a reduction of c.0.18% of the pre-cancellation share count.

Further to its announcement on 1 October 2026 of the commencement of a share buyback programme (the “Programme”), Macfarlane announces that it has purchased for cancellation, through Shore Capital Stockbrokers Limited, the following ordinary shares of 25 pence each in the Company (“Ordinary Shares”).

Following the cancellation of the Ordinary Shares, the Company’s issued share capital will consist of 153,473,911 Ordinary Shares. The Company does not hold any Ordinary Shares in treasury. The total number of voting rights in the Company is therefore 153,473,911. This figure represents the total voting rights in the Company may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company, under the Disclosure Guidance and Transparency Rules of the FCA.
