Transaction in Own Shares
Macfarlane Group PLC has purchased and cancelled a total of 255,056 ordinary shares as part of its ongoing share buyback programme. The purchases occurred between October 12th and October 16th, 2026, with the volume-weighted average price paid per share ranging from 81.785 pence to 84.954 pence. Following these cancellations, the company's issued share capital now stands at 154,024,748 ordinary shares, which also represents the total number of voting rights.

Further to its announcement on 1 October 2026 of the commencement of a share buyback programme (the “Programme”), Macfarlane announces that it has purchased for cancellation, through Shore Capital Stockbrokers Limited, the following ordinary shares of 25 pence each in the Company (“Ordinary Shares”).

Following the cancellation of the Ordinary Shares, the Company’s issued share capital will consist of 154,024,748 Ordinary Shares. The Company does not hold any Ordinary Shares in treasury. The total number of voting rights in the Company is therefore 154,024,748. This figure represents the total voting rights in the Company may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company, under the Disclosure Guidance and Transparency Rules of the FCA.
