Keras Resources plc (AIM: KRS) announces that the audit process is substantially finalised, however the Company is currently in advanced stage discussions around two potential transactions, which will have a bearing on the disclosure in the accounts. As a consequence, there will be a delay in the publication of the annual results for the year ended 31 December 2025, pending the anticipated signing of binding agreements.

As the Annual Report will not be released by 30 June 2026, being the deadline provided by Rule 19 of the AIM Rules for Companies (the "AIM Rules"), trading in the Company's ordinary shares on AIM will be suspended with effect from 7.30am on Wednesday 1 July 2026. The Annual Report is expected to be released as soon as the matters set out above are resolved, which is expected to be no later than 31 July 2026. Release of the Annual Report will permit the Company to request that the suspension is lifted.

In accordance with Rule 41 of the AIM Rules, the admission of the Company's shares to trading on AIM would be cancelled if the Company's shares are suspended from trading for six months.

Whilst the Company expects to enter into binding agreements for potential transactions, there can be no certainty that binding agreements will be reached or the terms of such agreements.
