Kistos (LON: KIST), an independent energy company focused on unlocking value within its existing portfolio and through value-accretive M&A, is pleased to announce that it has successfully placed a USD 50 million tap issue (the "Tap Issue") under its existing 9.875% senior secured bonds maturing in May 2030 (ISIN NO0013741843) (the "Bonds"). The Tap Issue was priced at 101.10% of par equivalent to 9.5% yield, taking the total amount outstanding under the Bonds to USD 350 million.

The Tap Issue attracted strong demand from new and existing institutional investors. Net proceeds will be used for general corporate purposes, principally to fund the continued growth of the Group. On settlement, Kistos will have between USD 250 million and USD 300 million of liquidity, complemented by the cash flows generated by its unhedged production portfolio, delivering pro forma EBITDA1 of USD 280 million in the nine months ended 30 September 2026.

Settlement is expected on or around 6 November 2026, subject to customary closing conditions. ABG Sundal Collier ASA and Fearnley Securities AS acted as Joint Bookrunners to the Tap Issue.

Andrew Austin, Executive Chairman of Kistos, commented:

"Pricing this tap at a premium to par is a strong endorsement from credit investors of Kistos' diversified, cash-generative platform. It further strengthens our balance sheet and positions us to act decisively on the opportunities ahead."

Kistos Executive Chairman, Andrew Austin, subscribed for USD 1.5 million of the Tap Issue.

  • Pro forma EBITDA is a non-IFRS measure and an unaudited estimate, defined as Group results as if the Oman Blocks 3 & 4 and Block 9 acquisitions had completed on 1 January 2026, based on draft financial information provided by the seller. It includes accruals of expected values and remains subject to finalisation of information from operators.
